My friend’s company incorporated in Thailand and has been considered as an alien nationality company, not a Thai company. To the best of my knowledge, a company incorporated in Thailand is a Thai nationality company even though my friend is an European. His company is not a branch of any European company too. Could you clearify this matter. Thank you.

Any company incorporated in Thailand, to be considered as Thai nationality company, must have Thai shares of at least 51%. Otherwise, it will considered as an alien nationality company, i.e., more than 49% of its shares held by foreign entities.

An alien nationality company cannot automatically perform various kinds of businesses in Thailand, and instead has to get permission from the Ministry of Commerce first. Most foreign businesses owned will be the ones that Thai owned companies do not operate.

Among the other things, the registered capital of an alien nationality company is required to have high investment.
